This End-User License Agreement (the "Agreement") is between Aurum Holdings ("Aurum," "we," "us") and the individual or entity ("you") accessing or using the Aurum Exotic software platform and any associated websites, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to this Agreement. If you do not agree, do not use the Service.
Subject to your compliance with this Agreement and payment of applicable fees, Aurum grants you a non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes during the term of your subscription.
You must be at least 18 years old and authorized to bind your organization. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You retain all rights, title, and interest in the data you submit to the Service ("Customer Data"). You grant Aurum a limited license to host, process, transmit, and display Customer Data solely as necessary to provide the Service. Aurum's handling of personal information is described in the Privacy Policy.
The Service integrates with third-party services including but not limited to Stripe (payments), Intuit QuickBooks (accounting), Twilio (communications), and Microsoft Azure (infrastructure). Use of those services is subject to their own terms, which you agree to as a condition of using the corresponding features of the Service.
Fees for the Service are billed in advance on the cadence indicated at checkout. Fees are non-refundable except where required by law. Payment transactions between you and your end customers are processed by Stripe Connect; Aurum does not directly handle card data. You are responsible for any taxes that apply to your use of the Service.
The Service, including all software, designs, and content (other than Customer Data), is the property of Aurum or its licensors and is protected by intellectual property laws. No rights are granted to you except as expressly set out in this Agreement.
Each party agrees to keep the other's confidential information confidential and to use it only to perform under this Agreement. Customer Data is your confidential information; the Service and Aurum's non-public business information are Aurum's confidential information.
Aurum will use commercially reasonable efforts to keep the Service available, but does not guarantee uninterrupted access. We may modify or discontinue features at any time. Material changes that materially reduce functionality will be communicated in advance where reasonably possible.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, AURUM DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AURUM'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE FEES PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. AURUM WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
This Agreement remains in effect for the duration of your subscription. Either party may terminate for material breach uncured after 30 days' written notice. On termination, your right to access the Service ends, and Aurum may delete Customer Data after a reasonable retention period consistent with our backup practices.
This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Orange County, California, and both parties consent to that jurisdiction.
Aurum may update this Agreement from time to time. Material changes will be communicated by email or in-product notice and become effective 30 days after notice unless a different effective date is specified.
